Terms of Service

1. Acceptance of Terms

By accessing or using the Inspaya platform ("Platform"), available at inspaya.net, including all associated services, features, content, and applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Inspaya, Inc. ("Inspaya," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria.

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those modifications. We recommend reviewing these Terms periodically for updates.

2. Description of Service

Inspaya is an AI-powered learning platform and talent marketplace that provides the following services:

• AI-Generated Curricula: Personalized learning paths constructed from curated YouTube video content, organized into structured courses with clear objectives and milestones.
• AI-Verified Certifications: Automated assessments and grading that validate a learner's knowledge and skills upon course completion, resulting in verifiable digital certificates.
• Talent Marketplace: A platform connecting certified learners with businesses and individuals seeking skilled professionals for freelance, contract, or full-time opportunities.
• Wallet & Payment Processing: An integrated wallet system enabling users to purchase courses, receive payments for gigs, and manage their funds on the Platform.
• Gift Courses: The ability to purchase and gift courses to other users on the Platform.

3. User Accounts

3.1 Registration. To access certain features of the Service, you must create an account. You may register using your email address or through Google OAuth. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account at support@inspaya.net.

3.3 Account Types. The Platform supports multiple account roles, including Learners, Talent (freelancers offering services), and Employers (businesses hiring talent). You may hold multiple roles under a single account.

3.4 Age Requirement. You must be at least 16 years of age to create an account. If you are between 16 and 18 years old, you represent that you have your parent's or legal guardian's consent to use the Platform.

4. Course Generation and Wallet

4.1 AI-Generated Courses. Courses on Inspaya are generated using artificial intelligence algorithms that curate and organize publicly available YouTube content. While we strive for accuracy and quality, we do not guarantee that all content will be error-free, complete, or suitable for every learner's needs.

4.2 Course Purchases. Certain courses may require a purchase to access. Prices are displayed in the applicable currency at checkout. Once purchased, course access is granted according to the specific course terms.

4.3 Inspaya Wallet. The Platform provides an integrated wallet where you can deposit funds, receive payments, and manage your balance. Wallet balances are non-interest-bearing. You may withdraw funds from your wallet subject to our minimum withdrawal thresholds and processing timelines.

4.4 Gifting. Users may purchase courses as gifts for others. Gift purchases are final upon delivery to the recipient and are subject to the same terms as regular purchases.

5. Intellectual Property

5.1 Platform IP. The Inspaya platform, including its design, logos, trademarks, AI algorithms, software, curriculum structures, assessment systems, and all related intellectual property, are owned by Inspaya, Inc. and are protected by Nigerian and international intellectual property laws.

5.2 Third-Party Content. Video content displayed within courses is sourced from YouTube and remains the intellectual property of the respective content creators. Inspaya does not claim ownership of third-party video content and embeds such content in compliance with YouTube's Terms of Service and API Terms of Service.

5.3 User Content. By submitting content to the Platform (including profile information, portfolio items, reviews, and gig descriptions), you grant Inspaya a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content in connection with the operation of the Service.

5.4 Certificates. Certificates issued by Inspaya are the property of Inspaya, Inc. You are granted a personal, non-transferable license to display and share your earned certificates for professional purposes.

6. Talent Marketplace

6.1 For Talent. Certified learners may create profiles on the Talent Marketplace to offer their services (gigs). You are responsible for accurately representing your skills, certifications, and experience. Inspaya reserves the right to verify and display your certification status.

6.2 For Employers. Businesses and individuals may browse, search, and hire talent through the Marketplace. Inspaya facilitates the connection but is not a party to any employment or service agreement between talent and employers.

6.3 Independent Contractors. Talent offering services through the Marketplace are independent contractors, not employees of Inspaya. Inspaya does not control the manner, method, or means by which talent perform their services.

6.4 Disputes. While Inspaya may offer mediation services for disputes arising between talent and employers, we are not obligated to resolve such disputes. Both parties are encouraged to resolve disagreements amicably.

7. Payment Terms

7.1 Payment Processors. Inspaya processes payments through third-party payment providers, including Paystack and Stripe. By making a payment on the Platform, you agree to the terms and conditions of the applicable payment processor in addition to these Terms.

7.2 Currency. Payments may be processed in Nigerian Naira (NGN), United States Dollars (USD), or other supported currencies depending on your location and the payment processor used.

7.3 Platform Fees. Inspaya may charge service fees on marketplace transactions, course purchases, and wallet withdrawals. All applicable fees will be clearly disclosed before you confirm a transaction.

7.4 Taxes. You are responsible for any applicable taxes related to your use of the Service, including income taxes on earnings from the Talent Marketplace. Inspaya does not provide tax advice.

7.5 Transaction Records. All transactions are recorded in your account dashboard. You are responsible for maintaining your own records for tax and accounting purposes.

8. Refund Policy

8.1 Course Refunds. If you are unsatisfied with a purchased course, you may request a refund within 7 days of purchase, provided you have not completed more than 30% of the course content. Refund requests should be submitted to support@inspaya.net.

8.2 Gift Refunds. Gifted courses may be refunded only if the recipient has not yet started the course. Refunds for gifts will be credited to the original purchaser.

8.3 Marketplace Disputes. Refunds for marketplace transactions are handled on a case-by-case basis in accordance with our dispute resolution process. Inspaya reserves the right to make final determinations on marketplace refund requests.

8.4 Processing Time. Approved refunds will be processed within 5–10 business days. Refunds will be credited to the original payment method or your Inspaya wallet, at our discretion.

9. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Submit false, misleading, or fraudulent information, including fabricated skills, experience, or certifications.
• Interfere with or disrupt the operation of the Platform, including through automated bots, scraping, or denial-of-service attacks.
• Attempt to circumvent payment obligations or manipulate the wallet system.
• Harass, threaten, or abuse other users of the Platform.
• Share, resell, or distribute course content, certificates, or account access to unauthorized third parties.
• Use AI-generated or automated tools to complete assessments on your behalf in a manner that misrepresents your actual skill level.

10. Termination

10.1 By You. You may terminate your account at any time by contacting us at support@inspaya.net. Upon termination, your access to purchased courses and marketplace features will be revoked. Any remaining wallet balance will be refunded to your designated payment method, subject to applicable fees.

10.2 By Inspaya. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violations of these Terms, fraudulent activity, or extended inactivity. In the event of termination for cause, any remaining wallet balance may be forfeited.

10.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, limitation of liability, and governing law.

11. Limitation of Liability

11.1 Disclaimer. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSPAYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.3 Cap on Liability. IN NO EVENT SHALL INSPAYA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO INSPAYA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

11.4 Third-Party Content. Inspaya is not responsible for the accuracy, quality, or availability of third-party video content embedded in courses. We are not liable for any claims arising from your reliance on such content.

12. Governing Law

12.1 Applicable Law. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

12.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation under the rules of the Lagos Court of Arbitration.

12.3 Jurisdiction. In the event that mediation is unsuccessful, you agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria for the resolution of any disputes arising under these Terms.
